Terms of Use - Acceptance
Please read through these "Terms of Use" carefully.

By accessing and/or using CEO Global's Web site (either the public or members-only portion or both )(The "Website"), or by otherwise accessing any content found on the We site, you are deemed to have entered into an agreement with CEO Global Network Inc. and to have agreed to be bound by the terms set out below.

The Website is owned and operated by CEO Global Network Inc.("CEO Global").

Intellectual Property Protection
The contents and design of both the publicand members-only portion of the Website and any material electronically provided to you or otherwise supplied to you in conjunction with the Websites (such content(s), design and materials being collectively referred to as the "Content"), are the property of CEO Global Network Inc. and are copyrighted. Other contributors to the Website may also have copy right in The content. You may not use or reproduce or allow anyone to use or reproduce any trade marks (such as the " CEO Global " name and logo or other trade names appearing on the Website) for any reason whatsoever without written permission from CEO Global Network Inc. or the identified copyright/trademark owner. The software which operates the Webites is proprietary software and you may not use it except as expressly permitted under these Terms of Use. You may not copy, reverse engineer, modify or otherwise deal with the software in any manner.

Use of Content
You may retrieve and display the Content on a single computer screen, print individual single copies of pages on paper and store such pages, in electronic form, on your single computer for your personal, non-commercial use. Except as expressly set out above, you may not reproduce, modify, or in any way commercially exploit any of the Content. In particular, but without limiting the generality of the above restrictions, you may not do any of the following without prior written permission from CEO Global Network Inc.:

1. reproduce or store in or transmit to any other web site, newsgroup, mailing list, electronic bulletin board, server or other storage device connected to a network or regularly or systematically store in electronic or print form, all or any part of the Content; or

2.  modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works from, distribute, perform, display, or in any way exploit all or any part of the Content (including use as part of any archive or similar service) without the prior written consent of CEO Global Network Inc.; or

3. remove the copyright or trade mark notice from any copies of the Content made under these Terms of Use. Irrespective of the owner of the trademarks or copy right(s).

Any use of the Content not specifically permitted above is expressly prohibited.

Third Party Transactions
You may use the Website to purchase products or services from CEO Global's third party partners. In that event, your contract for such products will be with the third party partner and not with CEO Global Network Inc.

Termination of Access
CEO Global may, in its sole and absolute discretion, terminate or suspend your access to all or part of the Website (including any right to access and use the Content with cause, by delivering notice to you in writing by e-mail or otherwise.

These rights of termination are in addition to all other rights or remedies of CEO Global Network Inc. provided either in these "Terms of Use" or by law.

Changes to the Web Sites
CEO Global reserves the right, in its sole discretion, to suspend, change, modify, add or remove portions of the Content available on the Websites at any time without penalty.

Registration, Passwords and Responsibilities
The CEO Global members-only portion of the Website is only open to you if you register as a user and are a member of CEO Global. You are solely responsible for the confidentiality and use of, and access to, the Content and the members-only portion of the Website using your user name and sign-on password. You agree to immediately notify CEO Global if you become aware of any loss or theft of any sign-on password or any unauthorized use of a sign-on password, user name, or of the Content or any portion of the Website. You will provide CEO Global with accurate, complete registration information (including, in particular, your e-mail address) and inform CEO Global of any changes to such information. For the purpose of confirming your compliance with these Terms of Use, CEO Global reserves the right to monitor and record activity on the Website, including controlling access to the Content.

Each registration for the Website is for a single user only. You may not share your user name and password with any other person. CEO Global does not permit multiple users access to the website through a single name and password being made available to multiple users on a network. CEO Global may cancel or suspend your access to the website to have without further obligation to you.

Confidentiality Promise
All members of the CEO Global Network Inc. (including members, chairs, speakers, and CEO Global employees) who access the CEO Global members-only portion of the Website agree to abide by the duties and obligations set out in CEO Global's Confidentiality Promise in favor o, and fo,r CEO Global.

Privacy Policy
The information that you provide about yourself to CEO Global will only be used in accordance with our Privacy Policy.

The members-only portion of the Website may include bulletin boards, discussion groups and other areas that may allow interaction between members of CEO Global. CEO Global does not control the information/materials posted by users (the "Postings"), but reserves the right (which it may exercise in its sole and absolute discretion without notice) to delete, move or edit any Postings on the Website and to terminate your access to and use of the Website in the event the Postings violate any of the rules set out below.

You are solely responsible for the content of your Postings. You must comply with any and all posted CEO Global guidelines and rules. You may not; in-particular,

a. post, link to or otherwise publish any Postings or Content with endorsements of, or warnings against, a company's equity, to have the purpose of affecting the price or value of any security;

b. post, link to or otherwise publish any Postings or Content that is unlawful, threatening, abusive, libelous, indecent, infringes copyright or other rights of third parties, or which contain any other form of illegal Content;

c. post or otherwise publish any Posting or Content that contains a computer virus or other harmful electronic component;

d. knowingly post or transmit any Postings or Content that contain software viruses, files or code designed to interrupt, destroy or limit the functionality of the web site or any computer software or equipment;

e. intentionally disguise the origin of any Posting or Content;

f. impersonate any person or entity (including CEO Global staff or other members of CEO Global), or misrepresent any affiliation with any person or entity;

g. post or otherwise publish any Postings or Content unrelated to the Website;

h. knowingly post or transmit any Postings or Content that contain software viruses, files or code designed to interrupt, destroy or limit the functionality of the web site or any computer software or equipment;

i. collect or store the personal data of any other user of the Website.

j. restrict or inhibit any other user from using the Website.

By submitting Postings or Content to the Website, you agree to fully indemnify and hold CEO Global harmless from any and all claims, costs and expenses (including legal expenses) arising out of any such Posting(s) or Content published by you that is or are in breach of these Terms of Use.

The Website may contain Postings and Content submitted by users over whom CEO Global has no control: CEO Global cannot therefore guarantee the accuracy, integrity or quality of any Postings or Content. Some users of the Website may breach these Terms of Use and post Postings and Content that is misleading, untrue or offensive. You assume all risk associated with your use of the Website and should not rely Postings and Content.

It is not possible for CEO Global to fully and effectively monitor Postings and Content that are submitted for infringement of third party rights. If you believe that a Posting or Content infringes your legal rights, you should notify CEO Global immediately.

Limitation of Liability
While every effort has been made to ensure the high quality and accuracy of the Website, CEO Global makes no warranty, either express or implied, concerning the Content, software or products or services available through the Website which are provided "as is". CEO Global expressly disclaims all warranties, including but not limited to, denials of warranties of fitness for a particular purpose and denials of warranties of merchantability.

In no event will CEO Global, its affiliates or other suppliers be liable for direct, special, incidental, or consequential damages (including, without limitation, damages for loss of business profits, business interruption, loss of business information or other pecuniary loss) arising directly or indirectly from the use failure to use, or reliance on, the Website, even if CEO Global has been advised of the possibility that such damages may arise. CEO Global does not guarantee the accuracy, content, or timeliness of the Content or that the Website is free from viruses or other contaminating or destructive properties.

You expressly agree that any possible liability of CEO Global, its affiliates, agents and licensors to you (and/or any third party) arising out of any kind of legal claim (whether in contract, tort, or otherwise) in any way connected with the Website Services or breach of these "Terms of Use" by CEO Global will be expressly limited to the amount, if any, paid by you to CEO Global in respect of the use of the Website to which the claim relate or received by CEO Global as membership dues and, specifically, whatever amount is less.

Upon CEO Global 's request, you agree to defend, indemnify and hold fully harmless CEO Global from any claims and expenses, including reasonable legal fees, related to any breach of these Terms of Use by you for your use of the Website.

Changes to these Terms
CEO Global may, in its sole and absolute discretion, change these Terms of Use (including those relating to your use of the Website and/or the Content). When the Terms of Use are changed, CEO Global will notify you by publishing details of those changes on the Website in these Terms of Use. If you use the Website after CEO Global has published or other wise notified you of the changes, you are agreeing now to be bound by those changes. If you do not agree to be bound by those changes, you should not use the Website any further after the changes are published. Access to certain parts of the Website including, but not limited, to the Content may be subject to additional terms and conditions.

Website Content and other Web sites
Parts of the Website may contain third party content. Content providers are responsible for ensuring that material submitted for inclusion on the Website complies with the "Privacy Policy" and the "Terms of Use" on the Website. CEO Global is not responsible for any third party content. The Websites may contain links to other web sites. CEO Global is not responsible for the availability of these Websites or their contents.

Assignment of Agreement
This agreement to abide by the Websites Terms of Use is personal to you and your rights and obligations under these Terms of Use may not be assigned, sub-licensed or otherwise transferred. This agreement may only be assigned to a third party by CEO Global which assignment does not require the member's approval.

Non-Waiver
No delay or omission on the part of either party in requiring performance by the other party of its obligations under these Terms of Use will operate as a waiver of any right.

Force Majeure
CEO Global, its affiliates and its information providers will not be liable or deemed to be in default for any delay or failure in performance or interruption of the delivery of the Content resulting directly or indirectly from any cause or circumstance beyond its or their reasonable control, including, but not limited to, failure of electronic or mechanical equipment or communication lines, telephone or other interconnect problems, computer viruses, unauthorized access, theft, operator errors, severe weather, earthquakes or natural disasters, strikes or other labor problems, wars, or governmental restrictions.

Severability/Survival/Statute of Limitations
If any provision of these Terms of Use is found to be invalid or unenforceable, such will not render all the Terms of Use unenforceable or invalid but rather the Terms of Use will be read and construed as if the invalid or unenforceable provision(s) are not contained therein. Any cause of action of yours with respect to these Terms must be filed in a court of proper competent jurisdiction in Ontario, Canada, within one year after the cause of action is alleged to have arisen, or such cause of action will be barred, invalid, and void.

Future Agreement
Save as expressly referred to herein, any other alleged representation, warranty, term or condition that is not expressly set out in these Terms of Use, shall not apply.

Headings
Headings in these Terms of Use are for convenience only and have no legal meaning or effect.

Governing Law and Jurisdiction
These Terms of Use shall be governed by, and construed in accordance with, the laws of the Province of Ontario. The parties irrevocably agree that the courts of Ontario shall (subject to the paragraph below) have exclusive jurisdiction to settle any dispute which may arise out of, under, or in connection with these Terms of Use or the legal relationship established by them, and for those purposes irrevocably submit all disputes to the jurisdiction of the Ontario courts.

For the exclusive benefit of itself, CEO Global shall express retain the right to instead bring proceedings regarding the substance of any specific matter in the courts of the country of your residence or, where these Terms of Use are entered into in the course of your trade or profession, the country of your principal place of business.
